These Terms & Conditions govern the commercial licensing and use of designs created and provided by Nouidestiny.com.

1. Purpose

Nouidestiny.com provides yearly commercial licenses for original artistic designs intended for use on commercial products such as apparel, souvenirs, accessories, printed items, and related merchandise.

These Terms apply to all licensed designs delivered, sold, or otherwise provided by Nouidestiny.com.

2. Licensed Designs

The licensed designs covered under these Terms are the specific artworks, illustrations, concepts, or visual creations delivered by Nouidestiny.com to the client.

Each licensed design remains the intellectual property of Nouidestiny.com unless otherwise agreed in writing.

3. Commercial License

The commercial license grants the client the non-exclusive right to:

Reproduce the licensed design commercially
Print the design on products and merchandise
Use the design across different product assortments
Adapt the design technically to fit various products and production methods
Adjust sizing, placement, colors, backgrounds, proportions, and print specifications where necessary

Such adaptations are permitted as long as the overall artistic identity and recognizability of the original design are respected.

This commercial license does not transfer ownership or intellectual property rights to the client.

4. Intellectual Property

All original artistic rights, authorship, concepts, artistic identity, and intellectual property related to the licensed designs remain the exclusive property of Nouidestiny.com.

The client receives a temporary commercial usage license only.

The client may not:

Claim authorship of the design
Sell, sublicense, assign, or transfer ownership of the design
Create entirely new collections directly derived from the artistic universe of Nouidestiny.com without prior written permission

5. Buyout & Transfer of Rights

A full buyout of a design may be purchased separately by written agreement between Nouidestiny.com and the client.

A buyout transfers the agreed economic and commercial ownership rights for the specific design covered by the buyout agreement.

Buyout pricing is determined individually according to factors including, but not limited to:

Intended use
Commercial scope
Distribution volume
Exclusivity requirements
Geographic market
Duration of use

Unless otherwise agreed in writing, full buyout fees generally range between NOK 7,000 and NOK 30,000 per design.

No transfer of ownership, copyright, economic rights, exclusive rights, or intellectual property rights shall occur until:

The buyout agreement has been signed by both parties; and
The full buyout fee has been paid in cleared funds.

Until both conditions have been fulfilled, all rights remain exclusively owned by Nouidestiny.com, and the client receives only the commercial license rights expressly granted under these Terms.

6. License Duration & Renewal

Each commercial license is valid for one (1) year starting from the date of purchase or payment.

The license renews automatically every year unless cancelled.

A renewal reminder will be sent approximately two (2) weeks before the renewal date.

After receiving the renewal notice, the client has one (1) month to decide whether to continue or cancel the license.

If the license is cancelled:

Production using the licensed design must stop at the end of the active license period.
Existing stock already produced before expiration may continue to be sold for a grace period of up to three (3) months.

7. Pricing

The standard commercial licensing fee is:

10,000 NOK per design per year

unless otherwise agreed in writing.

Payment terms are defined through invoice or commercial agreement between Nouidestiny.com and the client.

8. Deliverables

Nouidestiny.com provides production-ready design files suitable for commercial use.

Deliverables may include:

High-resolution PNG files
Vector files (AI, SVG, PDF where applicable)
Light and dark background versions
Transparent files
Print-ready formats

9. Liability

Nouidestiny.com is not responsible for:

Manufacturing defects
Product quality issues
Production delays
Sales performance
Distribution or retail outcomes

The client assumes full responsibility for manufacturing, production, distribution, and sales.

10. Termination

Nouidestiny.com reserves the right to terminate a license in case of material breach of these Terms.

Upon termination or expiration of the license:

All commercial usage rights immediately cease.
New production using the design must stop.

11. Governing Law

These Terms & Conditions are governed by and interpreted in accordance with the laws of Norway.

Any disputes arising from these Terms shall first be attempted to be resolved amicably between the parties.

12. Acceptance of Terms

By purchasing, licensing, downloading, receiving, or commercially using any licensed design provided by Nouidestiny.com, the client acknowledges and agrees to these Terms & Conditions in full.

These Terms apply automatically unless otherwise agreed in writing by Nouidestiny.com.
